The terms below apply to website design and development projects with Business Edge Designs.
Purchasing website design and development services
This agreement covers a project between the customer named on the Agreement and Business Edge Designs.
File transfer fee
The customer may acquire a copy of the graphics or website design contents for a fee of $250. The fee applies because the website is built on a database that must be prepared each time a file transfer is needed.
Website hosting
The project shall be hosted by Business Edge Designs. If hosted elsewhere, the company cannot take responsibility for software, hardware, performance, reliability or functionality, and a $250 file transfer fee applies. This is not a penalty; it covers converting the database for transport to a third-party server. Hosting elsewhere voids all warranties and relieves the company of liability for lost data or files.
Customer responsibility
Customers must supply all relevant information – graphics, content and database – within 30 days of signing, and warrant that they hold the legal authority and licences to publish it online. If information is not provided in time, the company may charge the amounts hereunder and is not liable for losses caused by customer delays.
Technical decisions
Decisions on design, programming, technology, logic, flow, fonts, graphics, database structure and visual appearance needed to meet the customer's requirements are the company's prerogative.
Contract terms
The initial term is twelve months from execution and renews automatically each year unless either party gives at least 30 days' notice of non-renewal. The contract cannot be cancelled until all outstanding amounts are paid in full.
Payment terms
The client agrees to pay all charges plus applicable taxes. Disputes must be raised within 7 days of receiving an invoice. If payment is not made within 30 days, the company may discontinue services and remove the project from the Internet without notice.
Late payments
Interest of 2% per month is charged on invoices outstanding for more than one month, and a $150 administration fee is added to unpaid accounts.
NSF cheques
A $25.00 administration fee is added for NSF cheques. The company may suspend the website project without notice if a cheque is returned NSF.
Privacy
Except under compulsion of law, the company keeps all non-public information related to this Agreement confidential, including names and personal details.
No success guarantee
The Agreement provides no guarantee of success, response, display, compatibility or browser configuration. The company does not guarantee website uptime and is not responsible for damage to websites, databases or files.
No deadline guarantee
The company cannot guarantee delivery dates. Projects are deemed complete once all items on the invoice have been delivered before launch.
Intellectual property
The project remains the company's intellectual property until paid in full, after which ownership transfers to the client. Copying the code before payment is treated as theft.
Whole contract
This Agreement is the full agreement between the parties. Changes are only valid when signed by both parties.
Survival
The above clauses apply until the termination of the contract.
